We acted for an Australian-listed mining junior on its acquisition of a majority stake in a producing asset in Gabon. We reviewed the licences held by the target both for validity and good standing in the way that they were acquired; we also reviewed all the target company’s corporate documentation to establish standing, power and competence to enter into the transaction. We drafted opinions on both the permits and the corporate structure for the listing prospectus.
