We advised an American retail chain of party supply stores on its acquisition of shares in a Malagasy clothing manufacturing company. This included a thorough due diligence analysis on the good standing of the company, reviewing all corporate and commercial contracts and advising on the overall deal structure. We negotiated every aspect of the deal over the table with the seller’s representatives in Madagascar and resolved several last minute hold-ups to the client’s advantage. We put in place a Mauritian holding company to take advantage of double tax treaties and oversaw a restructuring of the company ahead of closing.
